CHANGING COMPANY ADDRESS OF MULTIPLE-MEMBER LLC

Changing company address may stem from the need to develop the market, access customers… According to current legal regulations, the procedure for changing company address of multiple-member limited liability company (multiple-member LLC) is carried out as follows.

What is the company address?

Company address is the enteprises’ place of work, contact, and meeting with partners and customers within the territory of Vietnam. The company address is determined by the number of houses, alleys, alleys, alleys, streets, roads or villages, hamlets, communes, wards, towns, districts, towns, cities of the province or centrally run city.

Two-member LLC can change the company address to a new address in the same or different district/city of the province or a different province/central city.

Procedures for registering on change of address for a multiple-member LLC

Documents to prepare:

– Notice of change on business registration;

– Resolutions, decisions and copies of meeting minutes of the Board of Members;;

– Authorization document for other organizations or individuals to submit documents;

– ID card of authorized person

Regarding conditions and procedures for conducting meetings of the Board of Members:

Changing the address of the company’s headquarters is a case where it is necessary to hold a meeting of the Board of Members according to regulations. Regarding the Board of Members meeting, some points to note are as follows:

– First, meeting of the Board of Members is conducted when the number of attending members accounts for at least 65% of the charter capital; The specific ratio is prescribed by the company charter;

– In case the meeting of the Board of Members does not meet the above conditions, the second meeting of the Board of Members will be held with the following conditions: The notice inviting the second meeting must be sent within 15 days from the scheduled date of the first meeting. The second meeting of the Board of Members is conducted when the number of attending members owns 50% or more of the charter capital;

– If the second meeting of the Board of Members is still not eligible to proceed, the third meeting of the Board of Members shall be convened. The notice inviting the third meeting must be sent within 10 days from the intended date of the second meeting. The third meeting of the Board of Members is conducted regardless of the number of members attending the meeting and the amount of charter capital represented by the number of members attending the meeting.

How to submit application

After fully preparing the documents to change the address of a multiple-member LLC, enterprises can submit the documents in two ways: submit online or submit in person.

– Submit directly: Enterprises submit documents at the Business Registration Office – Department of Planning and Investment of the province/city where the enterprise has its new headquarters.

– Submit online: Enterprises submit applications at the National Business Registration Portal.

Receiving of documents and handling legal procedures on changing company address of multiple-member LLC

In case an enterprise changes its headquarters, it is a foreign-invested enterprise (FDI) that changes to a new address other than a centrally-run province/city; or a Vietnamese enterprise changes to a new address other than a district/city within the province, the two-member limited liability company needs to carry out tax finalization and finalization procedures at the previous tax administration agency, then implementing the changes on business registration information at the business registration agency where the business moved to.

The Business Registration Office will consider and process the application on changing company address of multiple-member LLC within 03 working days from the date of receiving the valid application.
