In the modern economy, the transfer of industrial property rights has become increasingly common and plays a crucial role in promoting technological development, creativity, and innovation. To ensure legality and protect the interests of the parties involved, the law of Vietnam stipulates specific conditions and procedures for registering contracts for the transfer of industrial property rights. These regulations not only ensure transparency but also foster the sustainable development of the intellectual property market.
Conditions for registering contracts for the transfer of industrial property rights
The right to transfer belongs to the industrial property owner: the transferor must be the lawful owner of the industrial property rights or duly authorized to carry out the transfer.
No restrictions on the transfer of industrial property rights: certain industrial property rights may be subject to restrictions under the law, such as those related to national defense, security, or rights that are legally restricted by a decision from a competent authority.
The legality of the contract’s content: the content of the contract for the transfer of industrial property rights must be clear, transparent, and compliant with legal regulations. The contract’s terms must meet transparency requirements and must not mislead or exploit industrial property rights to engage in unfair competition.
Procedures for registering contracts for the transfer of industrial property rights
Preparation of the dossier for registering contracts for the transfer of industrial property rights:
The registration dossier for the transfer contract must include the following documents:
– A registration declaration form for the contract (in accordance with the form issued by the Intellectual Property Office).
– A copy of the transfer contract for the industrial property rights.
– Documents proving ownership or lawful use rights of the industrial property.
– A power of attorney (if applicable).
Submission of the dossier to the intellectual property office:
Once the dossier is fully prepared, the parties involved or their legal representatives must submit it to the Intellectual Property Office. The dossier can be submitted either directly or by post. To facilitate registration, the Intellectual Property Office now offers an online registration system, which helps reduce both time and costs.

Review and evaluation of the dossier for contracts for the transfer of industrial property rights:
After receiving the dossier, the Intellectual Property Office will conduct an evaluation of the form and content of the application. This review process usually takes about 2 months from the date of receipt of a valid dossier.
Issuance of the certificate of registration:
If the dossier is valid and meets the required conditions, the Intellectual Property Office will issue a certificate of registration for the contract for the transfer of industrial property rights. This certificate has legal validity, allowing the parties involved to refer to the contract in dealings with third parties and ensuring transparency in transactions.
Notes on validity and dispute resolution on contracts for the transfer of industrial property rights
The transfer contract for industrial property rights only becomes effective with third parties after it has been registered with the Intellectual Property Office. In the event of a dispute, the parties may seek resolution through the court or commercial arbitration, following the provisions of the law.
